SureBooks Ltd Online Terms and Conditions

The SureBooks Online Terms Of Service are outlined below (hereinafter referred to as 'TOS').

The 'TOS' become immediately effective when the 'User' checks the 'I accept' check box and subsequently gains access to the website.

• Terms Used 'User' refers to the person using the service in any manner
• 'Business' refers to your business
• 'Service' refers to the SureBooks Online Financial Service or any other service provided by SureBooks Ltd
• 'Company' refers to SureBooks Ltd
• 'Content' refers to any information, text, data (including direct or indirect references to files, directories, data repositories), photographs, pictures, software, music, sound, graphics, video, messages or other materials of electronic or other nature
• 'Commencement Date' refers to the date you complete the Service registration process
• 'We' refers to SureBooks Ltd

Overview
The Website is a business application for present use in the United Kingdom only. The suitability of the software for the Business must be determined by the User and no responsibility can be taken by SureBooks Ltd for any decisions made by the User.

Commencement
The Service will begin on the Commencement Date and continue indefinitely, or until notice of cancellation is given by either the Users Business or the Company (SureBooks Ltd).

Service Provision
We will use our best endeavours and all reasonable efforts to make the Service available.

• We will not be liable for any errors, omissions or exceptions within the website
• We reserve the right at any time without notice to amend, update, revise the website and the Service offered

Any external links within the website are for the convenience of the User and do not not mean that we in any way endorse the linked website. Furthermore, we are not responsible for the content of any 3rd party website.

Trial/Demonstration Period
Under certain circumstances a Trial Period may be offered. At the end of the Trial Period the User has no obligation to subscribe to the Service. The Trial is deemed to terminate under any of the following conditions:

• The User agrees to subscribe to the Service
• The User cancels the Service
• The Trial Period expires

If at the end of the Trial Period a Subscription to the Service has not been taken out, all data that has been created will be deleted without warning.

The Service
Provided the Business has supplied the Company (SureBooks Ltd) with any information the Company has requested, when requested, during the term of the Service in relation to any aspect of the Service, We will:

• Provide access to the Service
• Use all reasonable efforts to provide the Service with care and skill
• Use any personal information provided to the Company in accordance with the Company Privacy Policy

The Business may at any time up grade or down grade the Service based on the additional Service Modules available at the time. If the Business chooses to down grade any existing data in relation to the down graded module may be lost. Any change in the Service modules will incur an amendment to the monthly fee.

Conditions
The Business may use the Service in the normal course of carrying out their business. The website may not be used for:

• including any material that is unlawful, defamatory, obscene, breach of privacy or confidentiality, objectionable
• containing any material of an explicit or adult nature
• including any intellectual property that is protected by law unless the Business owns the rights or has received the necessary permission
• any other manner contrary to the law

Refund, Replacement & Cancellation
The following terms refer to refund, replacement and cancellation conditions:

Refunds
This is a Subscription Service and refunds are not available for any unused periods.

Replacement
Because this is a service and no tangible goods are involved the issue of replacement does not arise.

Cancellation
This agreement will until cancelled by either party giving 1 month's written notice to the other provided however, that in no event will such notice where given by the Subscriber take effect prior to the expiration of the minimum term which shall the the GREATER OF one month and any longer period which is specified by SureBooks Ltd to the Subscriber when the Subscriber agrees to take on the service under this agreement. Such minimum term will run from the date that the Selected Service can first be received by the Subscriber.

Support
The Company will undertake to provide technical support and customer information between the hours of 9.00am to 5.00pm Monday to Friday (excluding UK Public holidays)

Your Commitment 

Fees

• you will pay Us (SureBooks Ltd) in advance monthly or annually for the Service
• we reserve the right to charge You interest on late payments or any sums due under the Service at the rate of one and a half percent (1.50%) above the base rate of the National Westminster Bank Plc from the due date until the date payment is received. You will be liable for any addtional costs incurred by Us in collecting any unpaid sums
• we reserve the right to suspend or cancel the Service should You fail to meet your obligations to pay Us within the specified time

Security

You agree to

• provide Us with accurate current information in the 'Sign Up' process
• notify Us immediately of any changes to your circumastances in relation to the information provided at 'Sign Up'
• notify Us immediately if you believe any unauthorised person has access to you password, the Service or the Company website
• to take responsibility for the security and correct use of login details (user names and passwords) and agree to take all necessary precautions to ensure they are kept secure and not divulged to any unauthorised person

Service Use

You agree to use the Service to provide financial information for your Business and for no other purposes

• you agree to comply with all the applicable prevailing laws, regulations and licences
• you agree to be held responsible and accept liablility for any use of the Service which is in breach of this Agreement by any person or organisation
• you permit to use the Service who We reasonably deem to be using the Service on your authority
• you may not transfer or assign any of your rights or obligations for the Service under this Agreement without written consent from the Company (SureBooks Ltd)
• you will not attempt any action that may affect or impair the functionality of the Service
• you may not act as a re-seller of the Service (unless authorised by the Company in writing)
• you may not use the Service to
  • knowingly or recklessly transmit, store or handle any computer virus
  • publish any illegal or unlawfull content - including without limitation content which is defamatory, of an explicit sexual nature, discriminatory, in violation of any 3rd parties rights, copyright protected, offensive, abusive, threatening or may cause distress to others
  • do anything to affect or harm other users or service providers on the internet or contrary to accepted standards
  • interfere with domain names belonging to other 3rd parties
  • permit any other 3rd party to do any of the above

Disclosure and Assistance
In the event of any legal proceedings being brought against the Company you agree to provide all reasonable assistance and disclose any relevant documents. You also agree without limitation to the foregoing to be joined as plaintiff or defendant in any proceeding at our request.

Indemnity
You agree to indemnify Us against any losses, proceedings, damages, claims, costs, charges, other expenses and other liabilities ('claims') by any person or organisation which we may be subject to as a result of (i) Your use of the Service (ii) Your provison of any content as part of the Service (iii) The use of any person You permit to use the Service or who We reasonably consider to have Your authority to use the Service (iv) Any other breach by You of this Agreement, howsoever caused

Limitations

• we do not warrant that access to the Service or any aspect of it will be fault free, uninterrupted or reliable
• we do not represent any information used by the Service will be complete, reliable or accurate
• we make no representation about any servcies offered by 3rd parties
• we have no liability for any consequential loss, data loss, loss of profits, damage or loss of property or any consequential loss of any other nature to the extent permitted by law,
• we exclude all liability (whether in contract, tort or otherwise, whether or not due to our negligence) as a result of
  • the unavailability of the Service or any part of the Service
  • Service delays or negligence in supplying the Service
  • any misreprensation of the Service (except where fraudulent made by Us or on our behalf) any technical, factual error or omissions relating to the Service

Our Rights

• we reserve the right to monitor Your use of the Service and may remove or amend the content if in our considered opinion any breach of the Agreement has been incurred
• where there is a potential breach of security we reserve the right to change your user name or password or suspend the Service

Service Suspension or Amendment
At any time we may without explanation immediately suspend part or all of the Service to maintain or upgrade the Service

Intellectual Property Rights

• the Company (SureBooks Ltd) hereby grants You a non-exclusive non-transferable licence to use the Software on a server controlled by Us for the sole purpose of using the Service
• all intellectual property rights We or our licensors hold in the software or any accompanying material or content We provide to You for the sole purpose of using the Service and will remain our property or that of our licensors
• you shall not attempt to
  • reverse engineer, modify, adapt or disassemble the software or any accompanying content or material
  • copy, publish, distribute, transmit or reproduce in any other manner the software or any accompanying content or material
  • remove, amend or in any other way change any identification marks associated with the software or any accompanying content or material

All Website Content are the copyright of SureBooks Ltd or other third parties. Permission is granted for a licence to use the application in the manner specified, electronically copy and print in hard copy Your Website, or any part of it, but no other part of the Site.

Governing Law
These terms and conditions shall be governed and construed in accordance with English Law and any disputes arising in relation thereto shall fall within the exclusive jurisdiction of the English courts
